Terms of Service — PayPam

 

These Terms of Service (hereinafter «the Terms») govern the contracting and use of the PayPam Service (hereinafter «the Service» or «PayPam») between:

  • The Provider: Miguel Ángel Gelabert Tellado, Spanish Tax ID (NIF) 37340298M, registered at Calle Creu 2, 07250 Vilafranca de Bonany, Illes Balears, Spain (hereinafter «PayPam» or «the Provider»).
  • The Customer: the individual or legal entity that subscribes to the Service by accepting these Terms (hereinafter «the Customer» or «the User»).

By completing payment for a subscription, the Customer acknowledges having read, understood and accepted in full these Terms, as well as the Privacy Policy and Legal Notice published at https://pay-pam.com.

PayPam is directed exclusively to professionals, freelancers and businesses (B2B). It is not aimed at consumers.


1. What services does PayPam provide?

PayPam is a SaaS platform that allows the Customer to:

  • Connect their Stripe account and view a dashboard with metrics, subscriber management, disputes, scheduled cancellations and expiring cards (Stripe module).
  • Manage private Telegram groups with access based on Stripe subscriptions, including automatic admission, removal, broadcasting and member auditing (Telegram module).
  • Automate invoice issuance through Factura Directa based on payments received in Stripe (Factura Directa module, available on request).
  • Automate WooCommerce order invoicing (WooCommerce module, available on request).

PayPam acts as a technical intermediary between the Customer’s services (Stripe, Telegram, etc.) and the features it provides. PayPam does not guarantee payment recovery, successful invoice issuance, successful group access, or any specific results from using the Service, as these depend on external factors such as end subscriber behavior, third-party API availability, Customer configuration or changes in connected platforms.

2. How is the Service contracted?

The Service is contracted exclusively through https://pay-pam.com via Stripe checkout. The Customer:

  1. Chooses a plan from those published on the pricing page
  2. Enters billing details and payment method on Stripe
  3. Accepts these Terms, the Privacy Policy and the Legal Notice by ticking a mandatory checkbox before confirming the payment
  4. Receives access credentials to the dashboard by email

The acceptance of the Terms is recorded along with date, IP address and document version as proof of consent.

3. Pricing and billing

The current prices for each plan are published at https://pay-pam.com and may be modified by PayPam with 30 days’ prior notice to existing Customers, via email. Prices include VAT only when explicitly stated.

Billing is performed monthly or annually depending on the chosen plan, through automatic charge to the payment method registered on Stripe. The Customer receives by email a receipt for each charge.

In the event of failed payment, Stripe will automatically retry according to its configuration. If after the retries the payment cannot be processed, the Customer’s account will be moved to suspended status.

4. Term and automatic renewal

The Service is contracted for the period indicated in the plan (monthly or annual) and automatically renews for the same period unless the Customer cancels before the renewal date.

PayPam does not apply any minimum commitment. The Customer may cancel their subscription at any time from the Stripe customer portal without penalty. The cancellation takes effect at the end of the period already paid.

5. Right of withdrawal

As the Service is a B2B offering aimed at professionals, freelancers and businesses, the right of withdrawal set forth in Article 102 of the Spanish Royal Legislative Decree 1/2007 does not generally apply.

Notwithstanding the above, PayPam voluntarily offers a period of 14 calendar days from the initial subscription (not applicable to renewals) during which the Customer may request a full refund of the first payment made, provided that the use of the Service has been for trial purposes only and has not generated significant costs to PayPam (e.g., massive calls to third-party APIs).

The request must be made by writing to hello@pay-pam.com with the subject «Withdrawal».

6. What happens if I stop paying?

If after the Stripe retries the payment cannot be completed, PayPam will suspend the account:

  • The dashboard displays a suspension notice with steps to reactivate
  • Incoming orders and events are stored as «pending» during the grace period (30 days by default)
  • If the Customer regularizes the payment within the grace period, the account is automatically reactivated and pending items are processed retroactively
  • After the grace period without regularization, pending items are deleted. The Customer’s configuration is retained and can be reactivated by making a new payment

PayPam does not automatically delete accounts. The Customer may request the complete and permanent deletion of the account at any time by writing to hello@pay-pam.com.

7. Service availability

PayPam will make reasonable best efforts to keep the Service available and functional. PayPam does not offer any SLA or guarantee of a specific uptime percentage.

The Service may be temporarily unavailable due to:

  • Scheduled maintenance (notified reasonably in advance)
  • Incidents in third-party services (Stripe, Telegram, Factura Directa, hosting provider, etc.)
  • Force majeure events (cyberattacks, natural disasters, power outages, etc.)

The Service is provided «as is», without warranty of uninterrupted availability or error-free operation.

8. Personal data processing — Data Processing Agreement

This section constitutes the Data Processing Agreement (DPA) between PayPam and the Customer in accordance with Article 28 of the GDPR, and forms an integral part of these Terms.

8.1 Roles and responsibilities

  • When PayPam processes personal data of the Customer itself (their account, billing, dashboard activity), PayPam acts as Data Controller.
  • When PayPam processes personal data of third parties on behalf of the Customer (e.g., the Customer’s end subscribers), PayPam acts as Data Processor and the Customer is the Data Controller.

This section governs exclusively the second case.

8.2 Subject matter of processing

The Customer entrusts PayPam with the processing of personal data necessary for the provision of the contracted services. Processing is limited to the purposes described in these Terms and to the Customer’s documented instructions, which include the Service configuration itself.

8.3 Duration of processing

Processing takes place during the term of the contract between PayPam and the Customer. Upon termination, PayPam will apply the retention periods described in the Privacy Policy and will proceed to delete or return the data as instructed by the Customer.

8.4 Nature, purpose and categories of data

Data categories and purposes depend on the modules active in the Customer’s account:

Stripe module (payment management and analytics):

  • Data processed: end subscriber email, amounts, payment statuses, Stripe identifiers
  • Purpose: display the customer dashboard, generate alerts, compute metrics

Telegram module (group access management):

  • Data processed: end subscriber email, Telegram identifier, membership status
  • Purpose: automate admissions and removals in private groups linked to subscriptions

Factura Directa module (if active):

  • Data processed: name, tax ID, address, email, phone, order lines
  • Purpose: issue invoices in the Customer’s Factura Directa account

WooCommerce module (if active):

  • Data processed: same as Factura Directa, from WooCommerce orders
  • Purpose: automate the invoicing of orders

The processing obligations in each sub-section only apply when the Customer has activated the corresponding module.

8.5 PayPam’s obligations as Data Processor

PayPam, as Data Processor, commits to:

a) Process the data only following the Customer’s documented instructions, including those implicit in the Service configuration

b) Ensure that persons with access to the data are bound by confidentiality obligations

c) Implement reasonable technical and organizational measures to protect the data (described in the Privacy Policy, section 10)

d) Not engage sub-processors without prior information to the Customer; the list of authorized sub-processors is published at https://pay-pam.com/privacy

e) Assist the Customer in handling data subject rights requests, to the extent reasonable

f) Assist the Customer in complying with their obligations regarding security, breach notification and impact assessments

g) Delete or return the data upon termination of the contract, as instructed by the Customer and subject to applicable legal retention periods

h) Make available to the Customer all information necessary to demonstrate compliance with Article 28 GDPR obligations

i) Notify the Customer without undue delay of any security breach affecting their data

8.6 Sub-processors

PayPam may engage sub-processors to provide the Service. The current list of sub-processors (Stripe, Telegram, Anthropic, BanaHosting) is published and kept up to date in the Privacy Policy. Any substantive change will be notified to the Customer at least 30 days in advance, offering the possibility to cancel the Service if the change is not accepted.

8.7 Customer’s obligations as Data Controller

The Customer represents and warrants that:

a) They have a valid legal basis (consent, performance of contract, legitimate interest, etc.) to process the personal data they transfer to PayPam for processing

b) They have informed the data subjects that their data will be processed by PayPam as Processor

c) They only transfer to PayPam the data strictly necessary for the provision of the Service

d) They do not use the Service for unlawful purposes or to process special categories of data (health, political opinions, racial origin, etc.) without explicit consent and adequate legal basis

e) They will comply with their own GDPR obligations towards the data subjects, including the handling of rights requests

9. Limitation of liability

PayPam shall not be liable, directly or indirectly, for:

  • Interruptions, failures or delays in third-party services (Stripe, Telegram, Factura Directa, WooCommerce, hosting providers, email providers, etc.)
  • Loss of profit, loss of customers, reputational damage, loss of business opportunities or any other indirect, incidental or consequential damages
  • Errors in data entered or configured by the Customer
  • Improper use of the Service by the Customer or third parties authorized by them
  • Breaches by the Customer of legislation applicable to their own activity
  • The content of the data processed by the Customer through the Service

PayPam’s total liability towards the Customer, for any cause and throughout the term of the contract, shall be limited to the total amount paid by the Customer to PayPam in the 12 months prior to the event giving rise to the claim.

This limitation shall not apply in cases of willful misconduct or gross negligence, nor in cases where the law expressly prohibits limitation of liability.

10. Indemnification

The Customer agrees to indemnify and hold harmless PayPam from any claim, sanction, administrative fine or damage arising from:

  • Breach by the Customer of these Terms
  • Breach by the Customer of legislation applicable to their own activity (tax, GDPR towards their own subscribers, consumer protection, etc.)
  • Inappropriate, unlawful or offensive content that the Customer has uploaded or managed through the Service
  • Improper use of the Service by the Customer or third parties authorized by them

11. Intellectual property

All code, design, brand, documentation and content of PayPam are property of the Provider. Contracting the Service grants the Customer a limited, non-exclusive, non-transferable, revocable license during the term of the contract, solely for the intended purposes.

The following is expressly prohibited:

  • Copying, modifying, decompiling or reverse engineering the Service
  • Reselling or sublicensing the Service without express written authorization
  • Using the «PayPam» brand or its distinctive signs without authorization

The Customer retains ownership of their data and of any content generated through the Service.

12. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information they may access in the course of the contract, both during its term and after its termination.

13. Customer obligations and prohibitions

The Customer agrees to:

a) Use the Service in accordance with these Terms and applicable law

b) Keep access credentials confidential

c) Promptly notify PayPam of any unauthorized use of their account

d) Not use the Service for unlawful activities, fraud, spam, phishing, or any activity that infringes third-party rights

e) Not attempt to compromise the security of the Service, reverse engineer it, or access PayPam’s systems without authorization

f) Not resell the Service or share access with third parties without authorization

g) Keep their account configuration and payment methods up to date

Breach of these obligations may result in the immediate suspension or cancellation of the Service by PayPam, without right to refund.

14. Contract termination

PayPam may suspend or terminate the contract immediately, without right to refund, in the event of:

  • Material breach by the Customer of these Terms
  • Fraudulent or unlawful use of the Service
  • Repeated non-payment after the grace period
  • Requirement from competent authorities

The Customer may cancel their subscription at any time from the Stripe customer portal. The cancellation takes effect at the end of the period already paid.

15. Modification of the Terms

PayPam reserves the right to modify these Terms to reflect legal, technical or operational changes. Substantive changes will be notified to the Customer at least 30 days in advance by email.

During the notice period, the Customer may cancel the Service without penalty if they do not accept the changes. Continued use of the Service after the new version takes effect constitutes acceptance of that version.

16. Limitation period for claims

Any claim arising from these Terms must be submitted within one year from the event giving rise to the claim. After such period, claims shall be time-barred and shall not be pursued.

17. Assignment

The Customer may not assign their rights and obligations under these Terms without the prior written consent of PayPam.

PayPam may assign the contract to a third party in case of restructuring, merger, acquisition or sale of the business, with at least 30 days’ notice to the Customer.

18. Governing law and jurisdiction

These Terms are governed by Spanish law. For the resolution of any dispute arising therefrom, the parties expressly submit to the courts and tribunals of the Provider’s registered address (Illes Balears, Spain), waiving any other jurisdiction that may correspond to them.

19. Severability

If any clause of these Terms is declared null or unenforceable by a competent court, such nullity shall not affect the validity of the remaining clauses, which shall continue to be fully applicable.
